Terms and Conditions of Use and Sale

Article 1: Introduction

These General Terms and Conditions of Sale detailed below apply to all browsing and/or orders placed through the website https://www.theneedlesfactory.com, which serves to connect THE NEEDLES FACTORY with its Customers, to display a virtual gallery related to tattooing, and to facilitate the online sale of products and services.

The online store of the website is hosted by Shopify Inc., which provides the e-commerce platform that allows THE NEEDLES FACTORY to sell its products and services through https://www.the-needles-factory.myshopify.com. The Customer acknowledges and expressly accepts this operating method.

The Customer expressly declares, prior to placing their order, that the purchase of these products is unrelated to their professional activity.

Placing any order for a product listed in the online store implies prior consultation and acceptance of these General Terms and Conditions.

The Customer acknowledges that their acceptance of these terms does not require a handwritten signature.

The Customer may save or print these terms and conditions, with the understanding that such actions are solely their responsibility.

THE NEEDLES FACTORY reserves the right to amend these terms at any time. Customers are encouraged to review them regularly.

Placing an order signifies full acceptance of these General Terms and Conditions, which cannot be altered, supplemented, or removed except by a written agreement signed by THE NEEDLES FACTORY.

The Customer acknowledges having received, prior to purchase or placing an order, clear and comprehensible information as outlined in Article L.221-5 of the French Consumer Code, including:

  • The essential characteristics of the Products;

  • The price of the Products and any additional fees;

  • The delivery timeline if not immediate;

  • Information about THE NEEDLES FACTORY (identity, contact details, and activities);

  • Details on legal and contractual warranties and how to exercise them;

  • The functionality and, where applicable, interoperability of digital content;

  • The possibility of conventional mediation in case of a dispute.

All future tools and features added to the website are subject to these terms. THE NEEDLES FACTORY reserves the right to update, change, or replace any part of these terms by posting updates on the website. The Customer is responsible for reviewing these changes. Continued use of the website after changes constitutes acceptance of those changes.

Article 2: Accuracy of Information

THE NEEDLES FACTORY disclaims all responsibility if information available on the website is inaccurate, incomplete, or outdated. Content is provided for informational purposes only and should not be the sole basis for decision-making. Some content may be historical and is not guaranteed to be current. THE NEEDLES FACTORY reserves the right to modify website content at any time. Customers are responsible for checking updates.

Article 3: Acceptance and Enforceability

The Customer declares that they have obtained all necessary information from THE NEEDLES FACTORY regarding the services offered and agrees to these terms without reservation. The Customer declares that they:

  • Understand how the website operates;

  • Have the technical skills required to access and use the site appropriately in accordance with these terms.

The Customer acknowledges that access to the services offered is conditional on acceptance of these terms.

Article 4: Website Access

Access to the website is only possible with a compatible IT setup, including:

  • A high-speed internet connection from a reputable provider;

  • Equipment and software capable of accessing and browsing the site.

Access is free for anyone with an internet connection. All access-related costs (hardware, software, internet) are borne by the Customer, who is solely responsible for their own IT equipment and internet access.

THE NEEDLES FACTORY strives to provide high-quality access, using all reasonable technical means. However, due to the complexity of the internet, uninterrupted access is not guaranteed.

The website is available 24/7 except in cases of force majeure, external disruptions, or necessary maintenance.

THE NEEDLES FACTORY may, without notice or compensation, temporarily or permanently shut down the website for maintenance or updates.

THE NEEDLES FACTORY is not liable for any damages resulting from such interruptions or permanent shutdowns.

The Customer is responsible for adapting their IT tools to any technical developments of the website.

THE NEEDLES FACTORY implements industry-standard efforts to secure the website.

Customers may not delete or alter site data or access restricted areas, which will be considered unauthorized access.

The Customer agrees not to overload or disrupt the website and not to use any tools or software that interfere with its operation.

The Customer acknowledges the inherent risks and limitations of the internet and must take necessary precautions to protect their data and software from viruses.

Article 5: Description of Services

The public section of the website provides:

  • Information about THE NEEDLES FACTORY’s activities;

  • General information relevant to the tattooing profession;

  • Online sales of THE NEEDLES FACTORY products and services via Shopify.

Article 6: Orders

Orders are placed through https://www.theneedlesfactory.com.

An order placed constitutes a remote contract between the Customer and THE NEEDLES FACTORY.

Product descriptions are available on the website. Products are offered subject to availability. If unavailable, the Customer may cancel their order.

Product details and images are provided as accurately as possible, but THE NEEDLES FACTORY is not liable for any errors or omissions. Images are non-binding. Product quality is not guaranteed to meet all Customer expectations.

Customers must create an account to place an order, providing an email and password. THE NEEDLES FACTORY is not responsible for incorrect information provided during account creation.

Once the account is created, Customers may add products to their cart and complete the order by clicking “Validate”.

Order validation constitutes an electronic signature with the same legal weight as a handwritten one. A confirmation email will be sent no later than upon delivery.

The sale is finalized when THE NEEDLES FACTORY confirms acceptance and receives full payment.

THE NEEDLES FACTORY reserves the right to cancel any order from a Customer with an outstanding payment or prior dispute.

Digital records maintained by THE NEEDLES FACTORY serve as proof of communications, orders, and payments.

Article 7: Pricing

THE NEEDLES FACTORY reserves the right to modify prices at any time but will apply the rates in effect at the time of the order.

Prices are listed in euros and are valid only on the date the order is placed. Delivery fees are extra and shown before order validation. Prices include VAT, and any VAT changes will affect the final price.

Full payment must be made at the time of order using one of the available payment methods. Payment data is encrypted per the protocol used by the authorized payment provider.

THE NEEDLES FACTORY may suspend orders if card authorization is denied or payment is not received.

Article 8: Delivery

Delivery refers to the transfer of physical possession or control of the item to the Customer.

Delivery times are estimates and not binding. The timeline begins from the order confirmation date.

Products are shipped to the address provided. If an address is incorrect, reshipment fees apply.

If the product is not delivered within 30 days after the estimated date (excluding force majeure or customer fault), the Customer may cancel the sale in writing. Refunds will be issued within 14 days, excluding additional compensation.

Upon delivery, the Customer must check the products (quantity, packaging, condition, references). Any issue must be noted on the delivery slip with handwritten, dated, and signed comments. This must be confirmed by registered mail to the carrier within two business days and by email to THE NEEDLES FACTORY: reclamation@theneedlesfactory.com.

Returns must be requested within 7 days. Return costs are borne by the Customer. Only unused products in original condition (packaging, accessories, instructions) will be refunded, excluding return shipping.

Article 9: Third-Party Involvement

Some content, products, and services may include materials from third parties.

THE NEEDLES FACTORY may provide access to third-party websites not affiliated with or controlled by it.

Customers are responsible for reviewing the terms of these external sites. THE NEEDLES FACTORY does not evaluate or guarantee their content and is not liable for purchases or interactions with such sites.

Complaints regarding third-party products must be directed to those third parties.

Article 10: Warranty

All products are covered by:

  • The legal guarantee of conformity for visibly defective, damaged, or incorrect products;

  • The legal warranty against hidden defects (Article 1641 of the French Civil Code).

The Customer has two years from delivery to act under the legal guarantee of conformity.

THE NEEDLES FACTORY is not liable for misuse, negligence, lack of maintenance, normal wear and tear, accidents, or force majeure.

Article 11: Liability

THE NEEDLES FACTORY cannot be held liable for the improper use of the products sold.

THE NEEDLES FACTORY is only responsible for the content it has published itself.

The Customer is solely responsible for ensuring the compatibility of the products ordered with their intended use. The Customer also undertakes to follow the instructions and advice for use provided with the products.

THE NEEDLES FACTORY disclaims all liability for:

  • Interruptions or delays in access to the website due to maintenance, technical issues, force majeure, or third-party actions;

  • The impossibility of temporarily accessing the site due to events beyond its control;

  • Any harm caused to the Customer's equipment or data resulting from site access.

The Customer is responsible for taking the necessary precautions to protect their data and software from contamination by potential internet viruses.

Article 12: Intellectual Property

All content on the website, including but not limited to logos, trademarks, domain names, texts, graphics, images, videos, animations, databases, and software, is the exclusive property of THE NEEDLES FACTORY or is used with proper authorization.

Any reproduction or representation, in whole or in part, of the website or its content without the prior written permission of THE NEEDLES FACTORY constitutes an infringement and may result in civil and/or criminal proceedings.

The same applies to the extraction or reuse of substantial parts of the content of the website.

Only the use of the website for private and non-commercial purposes is authorized.

Article 13: Personal Data

THE NEEDLES FACTORY complies with applicable personal data protection regulations, including the General Data Protection Regulation (GDPR).

The data collected from the Customer (name, address, email, phone, payment information, etc.) is necessary for order processing, delivery, and customer service.

This data may also be used for promotional communications with the Customer’s consent.

THE NEEDLES FACTORY implements appropriate security measures to protect Customer data but cannot be held liable in case of unauthorized access to the system.

Article 14: Force Majeure

THE NEEDLES FACTORY shall not be held liable if the performance of its obligations is delayed, hindered, or prevented due to a force majeure event as defined by French law and jurisprudence.

In the event of force majeure, THE NEEDLES FACTORY will notify the Customer as soon as possible and will be released from its obligations for the duration of the event.

If the force majeure event lasts longer than 30 days, each party may terminate the sale without compensation.

Article 16: Mediation

In the event of a dispute and after contacting THE NEEDLES FACTORY’s customer service, the Customer may refer the matter to a mediator for consumer disputes, as provided for by the French Consumer Code.

The mediator’s decision is not binding, and both parties remain free to accept or refuse mediation.

Article 17: Applicable Law – Jurisdiction

These General Terms and Conditions are governed by French law.

In the event of a dispute or litigation, and failing amicable resolution, the competent courts will be those in the jurisdiction of THE NEEDLES FACTORY's registered office, unless otherwise provided by mandatory law (e.g., for consumers).

Article 18: Severability

If one or more provisions of these General Terms and Conditions are deemed invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

Article 19: Waiver

Failure by THE NEEDLES FACTORY to enforce any provision of these General Terms and Conditions shall not constitute a waiver of its rights to do so later.

Article 20: Entire Agreement

These General Terms and Conditions represent the entire agreement between THE NEEDLES FACTORY and the Customer regarding the subject matter herein and supersede any prior agreements or communications.
